This is a contract between you (“you,” “You,” or “User”) and Harmonic AI, Inc. (together with its officers, directors, employees, agents, subsidiaries, and affiliates, "Harmonic," "we," or "us").

These Terms, which supplement any prior signed agreements between the parties, or in the event there is no signed agreement, supplement the Terms of Service that apply to Harmonic Services, describe the features and functions of Harmonic’s integration for Email, and Calendar  (individually “Integration” and collectively the “Integrations”), including how Harmonic will collect and use the data you make available to Harmonic through the Integrations. By choosing to use the Integrations, you agree to these Terms. 

Email and Calendar Integrations

How It Works

Harmonic’s Email and Calendar Integrations product will directly integrate your emails and calendars with the Harmonic platform to allow for easy searching of individuals or companies that are included in the Harmonic database and to improve your productivity when you use Harmonic.  

Harmonic Email and Calendar Integrations will sync with your email and calendar events to the applications to the extent you authorize. For Gmail and Google Calendar, you will need to provide Google authorization for Harmonic to obtain access in accordance with your explicit opt-in and the level of access you authorize.

Email subject lines, recipients, and dates of correspondences, as well as calendar events, dates, and attendees will be collected and surfaced on the Harmonic console of everyone in your Subscription Group to help improve your productivity and your Subscription Group’s productivity when using Harmonic.   

When you search for a company or person that is included in the Harmonic database, this product will provide you with information regarding the emails sent, when the emails were sent, and other email information associated with the company or person searched, as well as any calendar entries regarding the searched company or person.

This product helps facilitate your searches for data on the Harmonic platform related to a particular company or person that may be contained in your emails or calendar.  

What You Agree

When you use this Harmonic product, you acknowledge and agree as follows:

1. You grant Harmonic the right to connect with and obtain access to your emails and calendar via the Harmonic platform to the extent of the permissions you have granted pursuant to your personal email/calendar application.
2. You grant Harmonic the right to collect your email metadata such as date sent, recipient email addresses and personal names contained in the email.
3. You grant Harmonic the right to obtain access to your email content, if you have explicitly granted Harmonic such access under the terms of your personal email/calendar application.
4. You grant Harmonic the right to collect your calendar data, including event dates, attendee email addresses, names of attendees and names of calendar invitations.
5. You grant Harmonic the right to use email addresses to verify and remove (but not update) incorrect contact information in Harmonic’s databases 
6. You grant Harmonic the right to use the domain portions of email addresses for updating company information in Harmonic’s databases.

Protection of Your Personal Information

Harmonic will only use and share any personal information you provide with regard to your subscription to Harmonic Connections in accordance with our Privacy Policy. 

Additional limits to use of your Google data 

1. We limit our use of user data to provide or improve user-facing features that are prominent in the requesting application's user interface;
2. We do not transfer user data, except:
   • To provide or improve our appropriate access or user-facing features that are visible and prominent in the requesting application's user interface and only with the user's consent;
   • For security purposes (for example, investigating abuse);
   • To comply with applicable laws; or,
   • As part of a merger, acquisition, or sale of assets of the developer after obtaining explicit prior consent from the user.
3. We don't allow humans to read the data, unless:
   • We first obtained the user's affirmative agreement to view specific messages, files, or other data;
   • It is necessary for security purposes (for example, investigating a bug or abuse);
   • It is necessary to comply with applicable law; or
   • The data (including derivations) is aggregated and used for internal operations in accordance with applicable privacy and other jurisdictional legal requirements.
4. We do not transfer, use, or sell user data in any case, including:
   • Transferring or selling user data to third parties like advertising platforms, data brokers, or any information resellers.
   • Transferring, selling, or using user data for serving ads, including retargeting, personalized or interest-based advertising.
   • Transferring, selling, or using user data to determine credit-worthiness or for lending purposes.

Termination of Your Harmonic Email and Calendar Integration

As a user of the Email and Calendar Integration, you have the right at any time, upon written notice to Harmonic at info@harmonic.ai, to terminate any or all of the Integrations.

If you request termination of the Integrations, other Subscription Group members will no longer have access to your email and calendar events, and you will no longer be able to conduct searches of the Harmonic database in relation to your emails and calendar entries. 

Harmonic may terminate your access to any or all Integrations upon email or other notice to you.  Harmonic may also decide to modify or discontinue any of the Integration services at any time.

Deletion of Your Data

After receiving written notice to info@harmonic.ai from you requesting termination of the Integrations, Harmonic will promptly delete all of your data associated with the Integrations. 

Changes to these Terms

We may revise these Terms from time to time in our sole discretion. We will notify you by email of any such revisions; however, all changes are effective immediately when we post them, and apply to all access to and use of the Integrations thereafter. Your continued use of the Integrations following the posting of revised Terms means that you accept and agree to the changes.
